Legal Terms

Last updated: September 1, 2026

UNIFY Marketing & Technology Solutions LLC ("UNIFY", "we", "us")
2345 Detroit Ave., Maumee, OH 43537 · 419-740-1010 · billing@unifymts.com

1. What these terms cover

These terms apply to every quote, estimate, order and service UNIFY provides, unless you and UNIFY have signed a separate Managed Services Agreement (MSA) or other written contract. If you have, that contract controls where it conflicts with these terms.

2. Quotes and acceptance

  • A quote is valid until the "Valid until" date shown on it. After that, prices and availability may change.
  • You accept a quote by signing it, electronically or on paper, or by approving it in writing (email is fine). Once accepted, the quote and these terms form our agreement for that work.
  • Quantities and scope are based on the information available when the quote was written, including any site walkthrough. If we find conditions on site that were not known, we will tell you before doing extra work (see Section 8).

3. Electronic signatures and records

  • You agree that quotes, agreements, invoices and notices may be provided and signed electronically.
  • Your electronic signature has the same legal effect as your handwritten signature, under the federal ESIGN Act and the Ohio Uniform Electronic Transactions Act.
  • When you sign electronically, we keep a record of the signed quote, your name, the date and time, and technical details such as your IP address, to confirm the signature.
  • You can download a copy of any signed quote at the time of signing, or ask us for one at billing@unifymts.com. You may ask to receive paper copies instead by contacting us.

4. Pricing and taxes

  • Prices are in U.S. dollars. One-time charges and monthly charges are shown separately on the quote.
  • Applicable sales tax is not included on quotes. It is calculated and added on the final invoice.
  • Services billed by another provider. Some items, such as carrier phone lines (SIP trunks) and certain vendor plans, may be shown on your quote so you can see your full expected monthly cost, but are billed to you directly by that provider (for example, ESI). UNIFY does not invoice those items and they are governed by that provider's terms and pricing.
  • Project items may be shown as a single project price. That price covers the equipment and labor listed for that project.

5. Payment

  • Invoices are due upon receipt unless the invoice states other terms.
  • For projects that include equipment, a deposit of 50% of the invoice total is due before equipment is ordered. The balance is invoiced when the work is complete.
  • Monthly services are billed in advance each month.
  • Late balances may be charged 1.5% per month or the maximum allowed by law, whichever is less. We may pause services on accounts more than 30 days past due after giving notice.

6. Equipment, ownership and rentals

  • Purchased equipment becomes yours once it is paid in full.
  • Rented equipment (shown as a monthly charge) stays the property of UNIFY. You agree to keep it in reasonable condition and return it, or pay its remaining value, when the rental ends.
  • Special-order and non-stock items cannot be cancelled once ordered. Returnable items cancelled after ordering may carry a restocking fee of up to 15%.

7. Your responsibilities

  • Provide safe access to the site and a contact person at the scheduled time.
  • Provide power, network access, and any building or landlord approvals needed for the work.
  • Tell us about known site conditions that affect the work, such as hidden wiring, asbestos, or restricted areas.
  • Keep your own backups of your data unless backup is part of the services you buy from us.

8. Changes and extra work

  • Work not listed on the accepted quote is extra work. We will describe it and its cost, and get your approval (a written change order or email) before doing it, except in an emergency to prevent damage.
  • Unless a quote or agreement says otherwise, labor outside a quoted project is billed at our current hourly rates. On-site time is billed in 30-minute increments and remote or phone support in 15-minute increments.
  • Extra trips caused by lack of site access or delays outside our control may be billed.

9. Warranties

  • Equipment: manufacturer warranties are passed through to you. We will help you process warranty claims for equipment we supplied.
  • Business phones: phones purchased from UNIFY for an active UNIFY phone service are covered by a limited replacement warranty for the first two (2) years from activation, for manufacturer defects under normal use. See phone device warranty terms for purchased and rented phones.
  • Workmanship: we warrant our installation work for 90 days from completion. If something we installed fails because of our workmanship in that period, we will fix it at no charge.
  • Warranties do not cover abuse, accidents, liquid damage, power surges, unauthorized repairs or changes, extreme environments, or normal wear.
  • Except as stated above, services and equipment are provided without other warranties, to the extent the law allows.

10. Recurring services and term

  • Monthly services continue month to month unless your quote or agreement states a term.
  • Where a term is stated (for example, a 5-year phone service term), it begins on the activation or cutover date. At the end of the term it renews for one (1) year unless either side gives written notice of non-renewal at least thirty (30) days before it ends.
  • You remain responsible for charges through the end of the current term. Month-to-month services may be cancelled with thirty (30) days' written notice.

11. Limitation of liability

To the extent the law allows, UNIFY is not liable for indirect, incidental or consequential damages, including lost profits, lost data, or business interruption.

UNIFY's total liability for any claim is limited to:

  • One-time work (a quote, project, or equipment purchase): the amount you paid UNIFY for that quote or project.
  • Monthly services: the fees you paid UNIFY for that service in the ninety (90) days before the claim.

If our work, or equipment we supplied, fails, your sole remedy is for UNIFY to repair it, replace it, or refund the amount paid for that item or service, at UNIFY's choice.

Any claim against UNIFY must be made in writing within ninety (90) days after you knew or should have known of the issue. This deadline does not apply to warranty claims, which follow their own warranty periods: our 90-day workmanship warranty (Section 9), our phone device warranty, and any manufacturer warranties we pass through to you.

We are not responsible for failures caused by third-party providers, internet or carrier outages, power loss, or events outside our reasonable control.

12. Security, data and camera footage

  • We access your systems and data only as needed to provide the services, and we keep your information confidential.
  • No system is completely secure. Our security services reduce risk but cannot guarantee that attacks or data loss will not happen.
  • Camera footage belongs to you. We only view or export it at your request, to support the system, or when required by law.

13. Customer data and regulated information

Unless expressly included in a written agreement, UNIFY's website hosting, form hosting, email, backup, and technology services are not intended to serve as the customer's permanent records-management system or legal system of record. The customer is responsible for determining what information it collects, the lawful basis for collecting it, applicable retention requirements, and the system in which official records must be maintained.

Where websites or forms collect personal, confidential, educational, medical, financial, or other regulated information, the customer is responsible for transferring or preserving that information in its designated business or records-management system unless UNIFY has specifically agreed in writing to perform that function.

UNIFY does not provide legal, regulatory, records-management, or compliance advice unless expressly stated in a written agreement. The customer is responsible for identifying any laws, regulations, contractual obligations, or industry requirements that apply to its data and for informing UNIFY of any special technical or security requirements arising from them.

UNIFY may maintain temporary copies of customer data as reasonably necessary to provide hosting, backup, troubleshooting, migration, or support services. Backup systems are intended for disaster recovery and are not guaranteed to preserve every transaction or provide archival retention unless specific recovery-point or retention requirements are stated in a written agreement.

14. Storage and retention

Hosting services are subject to reasonable storage, retention, and resource limits. UNIFY may require the customer to archive, export, relocate, or delete data that materially exceeds the intended use of the service or creates operational, security, or compliance risk.

15. Customer security responsibilities

The customer is responsible for maintaining appropriate user accounts, access permissions, passwords, multifactor authentication, internal records-handling procedures, and authorized-user lists unless those functions are specifically managed by UNIFY under a written agreement.

16. Governing law

These terms are governed by the laws of the State of Ohio. Any dispute will be handled in the state or federal courts serving Lucas County, Ohio.

17. Changes to these terms

We may update these terms from time to time. The version in effect when you accept a quote applies to that quote. Updated terms apply to monthly services starting with the next billing period after they are posted.

18. Contact

Questions about these terms or your invoice: billing@unifymts.com or 419-740-1010.
